These Terms of Service (“Terms”) govern your use of the COOK. desktop application and the cooklabpro.com website (together, the “Service”), provided by Cooklab (“we”, “us”, or “Cooklab”). By creating an account, subscribing, downloading, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
COOK. is a macOS desktop application that generates randomized MIDI beat skeletons for use in digital audio workstations (Ableton, FL Studio, Logic, Bitwig, Reaper, etc.). Access to the application requires an active subscription or a valid redeemed license key.
You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your password. You must be at least 13 years old (or the age of majority in your jurisdiction, whichever is higher) to create an account. One account per person. Accounts may not be shared, sold, or transferred without our prior written consent.
You are responsible for all activity that occurs under your account. If you suspect unauthorized access, contact us at support@cooklabpro.com immediately.
COOK. is sold on a subscription basis. Current plans are billed monthly or annually at the prices shown at cooklabpro.com at the time of checkout. Prices are in U.S. Dollars and exclude any applicable taxes.
Subscriptions automatically renew at the end of each billing period using the payment method you provided, until you cancel. By subscribing, you authorize Cooklab and our payment processor (Stripe, Inc.) to charge that payment method for each renewal.
You may cancel at any time from the “Manage Billing” link on your dashboard, which opens a Stripe-hosted portal. Cancellation takes effect at the end of the current paid period — you keep access through the period you have already paid for, and we do not charge you again.
Subscription fees are non-refundable, except where required by law. If you believe you were charged in error, contact us within 7 days of the charge at support@cooklabpro.com and we will review your case in good faith.
If a renewal payment fails, Stripe will retry the charge for up to roughly one week per its standard schedule. During this time your subscription remains active. If all retries fail, your subscription will be cancelled and access to the application will end.
We may change the price of subscription plans. Existing subscribers will be given at least 30 days’ notice before any price change applies to them, and will have the opportunity to cancel before the new price takes effect.
While your subscription or redeemed license is active and in good standing, Cooklab grants you a limited, non-exclusive, non-transferable, revocable license to install and use the COOK. application on up to two (2) Apple-branded computers that you own or control, solely for your personal or professional creative use. Any output you generate with COOK. (the “Output”) is yours to use, modify, and distribute as you see fit, including in commercial works.
Each subscriber is issued a license key tied to their account. License keys are personal — you may not share, sell, sublicense, redistribute, or publicly disclose your key. We may automatically suspend or revoke a key that we detect has been activated on more devices than allowed, or that shows signs of abuse, even if those activations failed validation.
You agree not to:
If you are enrolled as a COOK. affiliate, you may share your referral link or promo code to grant a discount to new customers and earn commissions on resulting paid subscriptions, in accordance with the terms set out at the time of your enrollment. We reserve the right to disable an affiliate link or code at any time, including for violation of these Terms or for fraudulent referrals.
We may release updates to COOK. from time to time. Some updates may be required to continue using the Service. We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free, and we may schedule maintenance with or without prior notice.
You may stop using the Service at any time and may delete your account by contacting support@cooklabpro.com. We may suspend or terminate your account, with or without notice, if you violate these Terms, if your payment is overdue, or if we are required to by law. On termination, your license to use COOK. ends and your license key may be invalidated.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE OUTPUT WILL BE ORIGINAL, UNIQUE, OR FIT FOR ANY SPECIFIC PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COOKLAB AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
You agree to indemnify and hold Cooklab harmless from any claim or demand made by a third party arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.
We may update these Terms from time to time. If we make material changes we will notify active subscribers by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States and the state in which Cooklab is established, without regard to conflict-of-laws principles. Any dispute arising out of these Terms will be resolved in the state and federal courts located in that jurisdiction.
Questions about these Terms can be sent to support@cooklabpro.com.
